On request by Nasdaq Stockholm AB, GomSpace Group AB informs that the customer Sky and Space Global Ltd has disclosed a Supplementary Prospectus on April 16 2019, see https://www.investi.com.au/api/announcements/sas/7022385c-6f1.pdf.
As stated in the press release by GomSpace dated April 8 2019, GomSpace and Sky and Space Global have entered into a “Heads of Agreement” for one new agreement and replacement of the original agreement entered into in 2017 (as amended), the potential new agreement is conditional upon secured financing by Sky and Space Global Ltd.
The above-mentioned Supplementary Prospectus of Sky and Space Global Ltd states;
Section 4: TERMINATION OF UNDERWRITING AGREEMENTS IN RELATION TO THE PRIORITY OFFER:
“The termination of the Underwriting Agreements has the following effects on the Priority Offer:
(a) the Priority Offer is no longer underwritten;"
Section 8: EFFECT OF THIS SUPPLEMENTARY PROSPECTUS ON THE COMPANY’S ACTIVITIES:
“The Company currently has sufficient capital to fund its ongoing operations for approximately 2 months. If the Priority Offer and the Tranche 2 Placement are fully subscribed, the Company will be able to undertake its intended business plan for the launch of the first batch of operational satellites by early 2020 without further delays.
If the Priority Offer and the Tranche 2 Placement are subscribed to 90% or less, the Company will need to undertake a further capital raising, or seek alternative financing, in order to execute its current business plan without changes.”
